These Terms and Conditions ("Terms") govern your access to and use of the website, mobile applications, trading platforms and services (collectively, the "Services") provided by Goodflow Securities Private Limited ("the Company", "we", "us"), a company incorporated under the Companies Act, 2013 with CIN U67100MH2021PTC365713, registered with the Securities and Exchange Board of India as a stock broker under registration number INZ000303634, and a trading member of the National Stock Exchange of India Limited (Member Code 90255), BSE Limited (Member Code 6830) and the Multi Commodity Exchange of India Limited (Member Code 57425), having its registered office at 612/613, Hive 67, Icon, Poisor Gymkhana Road, Lokmanya Tilak Nagar, Kandivali West, Mumbai 400067, Maharashtra.
By accessing this website, opening an account with us or using any of our Services, you agree to be bound by these Terms, our Privacy Policy, our Disclaimer, the rules, bye-laws and regulations of the relevant stock exchanges, and the applicable circulars and directions of SEBI, as amended from time to time. If you do not agree with any part of these Terms, please do not use the Services.
Our broking Services are available only to persons who are competent to contract under the Indian Contract Act, 1872 and who have completed the Know Your Client (KYC) process prescribed by SEBI, including verification of PAN, proof of identity, proof of address and bank account details. Opening of a trading and demat account is subject to the execution of the mandatory client documentation, including the Rights and Obligations document, the Risk Disclosure Document, the Guidance Note and the Tariff Sheet.
You agree to provide true, accurate and complete information at the time of account opening and to promptly inform us of any change in that information, including your mobile number, email address and bank details. We may refuse to open an account, or may suspend or close an existing account, where required under applicable law or where the information provided is found to be false or incomplete.
You are solely responsible for all orders placed and transactions executed through your account, whether placed online, through our dealing desk, or through any other mode offered by us. You agree to maintain the confidentiality of your login credentials, passwords and OTPs, and to notify us immediately of any unauthorised access to your account.
You agree to pay all applicable brokerage, statutory levies (including STT, GST, stamp duty, SEBI turnover fees and exchange transaction charges), margins and other amounts due in respect of your transactions within the prescribed time. We are entitled to liquidate positions or sell collateral where margins or pay-in obligations are not met, in accordance with our Risk Management Policy and applicable regulations.
All transactions are subject to the margin requirements prescribed by the exchanges and SEBI, including upfront margin collection in the cash and derivatives segments. Securities can be accepted as margin from clients only by way of pledge in the depository system with effect from 1 September 2020. Funds and securities are settled in accordance with the running account settlement framework prescribed by SEBI, and unused client funds are placed with the clearing corporation as required under the applicable upstreaming framework.
Investment in securities markets is subject to market risks. Trading in equity, derivatives and commodity segments can result in substantial losses, including losses exceeding the margin deposited, particularly in leveraged products. Past performance is not indicative of future results, and no return of any kind is assured or guaranteed. You should read the Risk Disclosure Document prescribed by SEBI carefully before trading and consider your own financial position, investment objectives and risk appetite.
While we endeavour to provide uninterrupted access to our platforms, the Services are provided on an "as is" and "as available" basis. We do not warrant that the website or trading platforms will be error-free or uninterrupted, and we shall not be liable for losses arising from system outages, connectivity failures, exchange or depository system issues, or events beyond our reasonable control. In the event of technical difficulty, you may place orders through our dealing desk during market hours.
All content on this website, including text, graphics, logos, illustrations and software, is the property of the Company or its licensors and is protected by applicable intellectual property laws. You may not reproduce, modify, distribute or commercially exploit any content without our prior written consent.
We are a reporting entity under the Prevention of Money Laundering Act, 2002 and maintain policies for client due diligence, transaction monitoring and reporting of suspicious transactions to the Financial Intelligence Unit – India, as required by law. You agree to cooperate with any information or documentation requests made in this regard.
Either party may close the trading account by giving notice in writing, subject to settlement of all outstanding positions, dues and obligations. We may suspend or restrict the account, without prior notice where so required, pursuant to directions of SEBI, the exchanges or any other authority, or where we reasonably believe the account is being used in violation of applicable law or these Terms.
Any complaint or grievance may be addressed to us at grievance@goodflowsecurities.com. If the grievance is not resolved to your satisfaction, you may lodge a complaint with SEBI on the SCORES platform at scores.sebi.gov.in or seek resolution through the SMART ODR portal at smartodr.in.
These Terms are governed by the laws of India. Subject to the arbitration and dispute resolution mechanisms prescribed by the exchanges and SEBI, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
We may revise these Terms from time to time to reflect changes in law, regulation or our Services. The revised Terms will be posted on this page with an updated date, and your continued use of the Services after such posting constitutes acceptance of the revised Terms.
